Thinking of starting a business or opening a store with partners? Our recommendation is to first incorporate a company, then open files with the tax authority and VAT.
When forming the company, we strongly recommend signing a partnership agreement at the outset. It is also possible — and sometimes advisable — to incorporate parts of the partnership agreement into the company's articles of association (the company's rulebook, which is publicly accessible).
A partnership agreement is especially important from day one. It sets out:
• When will profits be distributed?
• How is salary determined for the partners?
• Who are the authorized signatories on the bank account?
But even more important to address at the time of formation: how does a partner exit the partnership and the company with minimum losses? And what is the legal liability of the partners in the event of liquidation?
